1. no steam is not running
2. no plugins are loaded
3. i copied the files from my mw3 dir. didn't work

Computer haz Firewall? antivirus firewall can block it i have to turn mine off.

Try changing your router's DMZ setting. And put steam.dll in your server root (get it from your steam client install).
This worked for me with opening nat -
you must enable telnet first ... idk if ports match for server

then close the telnet session
Step 3- Reboot your modem (just power off and back on) not always needed but is helpful to do after changes made.
nah, the router doesn't accept telnet connections
